DONATION ACCEPTANCE AGREEMENT
This Agreement Regarding Good360 Donated Goods (this “Agreement”), effective today is entered into by and between Role Models of America (“Redistribution Partner”), and Recipient Organization.

 

Redistribution Partner and Recipient Organization may each be referred to herein as a “Party” and together as the “Parties”. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: Recipient Organization acknowledges that it may receive donations from Redistribution Partner of certain items that were first donated to Good360, a Virginia corporation (“Good360”), and, in turn, donated to Redistribution Partner (“Donated Goods”) and that Good360 has required that Redistribution Partner obtain the assurances and agreements from Recipient Organization set forth in this Agreement.

Recipient Organization shall:

a. Use the Donated Goods for the care of the ill, needy or infants in a manner that alleviates or cures an existing illness, alleviates or satisfies an existing need, or performs parental functions and provides for needs of infants, in each case, as set forth in the IRC regulations and in compliance with IRC § 170(e)(3) and paragraphs (b)(2) and (b)(3) of Internal Revenue Code (IRC) regulations § 1.170-4A;

b. Provide to Redistribution Partner information regarding Recipient Organization’s use of all Donated Goods received by Recipient Organization; 

c. To the extent required by IRC regulation 1.170A-4A(b)(4), provide to Redistribution Partner acknowledgments of receipt of Donated Goods that include all required information.

d. Agree to abide by donation restrictions as provided to the redistribution partner by Good360.

e. Provide Redistribution Partner (Role Models of America) with Non Profit Papers including state designation, EIN number and, if applicable, 501c3 Determination Letter.

Recipient Organization acknowledges that Good360 and the donor of the Donated Goods to Good360 may rely on the information provided by Recipient Organization to Redistribution Partner

and that Redistribution Partner may make such information available to Good360 and Good360’s donees, in each case, at Good360’s request.

The Parties agree that any and all actions brought to enforce theprovisions of this Agreement shall be brought in a court of competent jurisdiction located in the State of Texas. This Agreement will be governed by and construed according to the laws of the State of Texas without consideration of any conflicts of laws principles. This Agreement shall be binding upon, and inure to the benefit of, the

Parties and their respective heirs, executors or administrators, beneficiaries, personal or legal representatives, successors and assigns. This Agreement does not confer and shall not be deemed to

confer or create any rights in and for third parties (other than Good360).

 

This Agreement sets forth all of the promises, agreements, and understandings of the Parties with respect to the matters described

herein, and there are no promises, agreements, or understandings, oral or written, express or implied, between them with respect to such matters other than as set forth herein. Any and all prior promises,

agreements, and understandings among the Parties with respect to the matters described herein are hereby revoked. The provisions of this Agreement shall be deemed severable, and the invalidity or

unenforceability of any one or more of the provisions hereof shall not affect the validity and enforceability of the other provisions hereof. This Agreement shall not be modified or amended except by further writing signed by both Parties. The headings or other captions contained in this

Agreement are for convenience of reference only and shall not be used in interpreting, construing, or enforcing any of the provisions of this Agreement.

 

Policies: 

  1. Inactive Status for Non-Attendance:

   - If your organization is unable to pick up donated items or fails to attend scheduled pickups for three consecutive months, Role Models of America (RMA) will move your ministry to the inactive list.

   - By doing so, RMA aims to ensure equitable distribution of resources and serve as many non-profits as possible.

   - The space vacated by your ministry will be made available to non-profits on the waiting list.

   - When you are ready to resume participation, please notify Judy, who will assist you accordingly.

   - RMA recognizes the importance of maximizing the impact of donated items and appreciates your understanding in this matter.

2. Consequences for Selling or Trading Donated Items:

   - If your ministry is found to be involved in the sale, trade, or acceptance of donations in exchange for the items received from RMA, it will result in the suspension or termination of our relationship.

   - 1st Offense: In the event of a first offense, your ministry will be suspended for a period of three months.

   - 2nd Offense: A second offense will lead to the permanent termination of your ministry's association with RMA.

*In the event that an organization is terminated from the list of donors we work with, their partnership with Role Models of America will also be immediately terminated.

   - RMA maintains a strict stance against such actions to ensure the intended purpose of the donated items is upheld and to maintain the integrity of our redistribution process.

   - We believe in the fair and ethical distribution of resources, and adherence to this policy is crucial in preserving the trust of our donors, recipient organizations, and the community we serve.

These policies aim to maintain accountability and fairness within Role Models of America while emphasizing the importance of proper use and distribution of donated items.

3. Non-Violence Policy:

   - Role Models of America is committed to promoting a safe and respectful environment for all staff members, volunteers, donors, and recipients of donated items.

   - Strictly prohibit any form of violence, including physical, verbal including threats, or emotional abuse, within the organization or during any interactions associated with the organization's activities.

   - Ensure that all staff members, volunteers, and individuals involved in the organization's operations are aware of and adhere to this policy.

   - Encourage open communication and provide channels for reporting any concerns or incidents related to violence or harassment.

   - Establish a clear procedure for addressing and investigating reports of violence, including appropriate disciplinary measures if necessary.

   - Emphasize a culture of respect, inclusivity, and compassion in all interactions associated with the organization.

By implementing a strict non-violence policy, Role Models of America can ensure a safe and positive environment for everyone involved in the organization while fostering a culture of peace and understanding.

Certainly! Here are two additional policies for your organization, Role Models of America:

4. Confidentiality and Data Protection:

   - Role Models of America recognizes the importance of confidentiality and data protection regarding donor information, recipient organizations, and other sensitive data.

   - All staff members, volunteers, and individuals associated with the organization must adhere to strict confidentiality guidelines.

   - Implement appropriate measures, such as data encryption and restricted access, to safeguard confidential information.

   - Prohibit the unauthorized sharing or disclosure of confidential information to maintain the privacy and trust of donors, recipients, and other stakeholders.

   - Establish procedures for securely storing and disposing of sensitive data in accordance with applicable data protection laws.

5. Conflict of Interest:

   - Role Models of America expects all board members, staff members, and volunteers to act in the best interests of the organization, placing its mission above personal or conflicting interests.

   - Disclose any potential conflicts of interest that may arise due to personal relationships, financial interests, or affiliations with other organizations.

   - Implement procedures to manage and mitigate conflicts of interest, including abstention from decision-making processes where conflicts may arise.

   - Regularly review and update conflict of interest policies to ensure their relevance and effectiveness.

   - Provide training and education to all board members, staff, and volunteers on identifying and managing conflicts of interest.

6. Response Time Policy for Partner Organizations:

Role Models of America values timely and efficient communication as a cornerstone of our collaborative efforts. To maintain the effectiveness of our operations and to honor our commitment to our stakeholders, we require all partner organizations to adhere to the following response timeframes:

  • Standard Response Time: Partner organizations are expected to respond to any communication from Role Models of America by no later than Tuesday evening of each week.
  • Acknowledgment of Receipt: If a complete response requires additional time, an acknowledgment of the initial communication must be sent by the same Tuesday evening deadline, indicating when a full response can be anticipated.

Procedures:

  • All communications sent out by Role Models of America to partner organizations will include a clear call to action and the expected response time as per this policy.
  • A reminder will be sent on Tuesday mornings as a courtesy to prompt a timely response.
  • Non-compliance with this policy will be addressed on a case-by-case basis, considering the reasons for delay and potential impacts on project timelines.

Responsibility:

It is the responsibility of the designated contact person at each partner organization to ensure compliance with this policy. Role Models of America will assign a staff member to track compliance and address any issues with response times.

Review and Sanctions:

Compliance with this policy will be reviewed quarterly. Persistent non-compliance may result in a reassessment of the partnership terms.

Procedures: 

  1. Pickup Availability and Frequency:

   - Role Models of America offers four pickups each month.

   - Each organization is allowed to receive two pallets of items per month.

   - For the first pickup, organizations will receive one pallet to allow them to visit the warehouse and become familiar with the program.

2. Promo Code and Permanent Code:

   - Organizations will receive a promo code for their first pickup (“welcometorma”)

   - For the second pickup and onwards, organizations need to notify Judy to obtain their permanent code.

   - Once the permanent code is received, organizations will be eligible to pick up two pallets of items each month.

3. Vehicle Requirements:

   - To pick up the donated items, organizations are required to have a pickup truck, trailer, or U-Haul.

4. Scheduling and Timing:

   - Role Models of America schedules pickups once a month, specifically on the 1st, 2nd, or 3rd Thursday  and the last Saturday of each month.

   - The pickup time slot is from 10:00 a.m. to 11:00 a.m., and it is requested that organizations arrive at the warehouse by 10:30 a.m. to ensure efficient operations.

   *Please note that Role Models of America (RMA) reserves the right to cancel or make changes to the pickup schedule as necessary. We understand that unforeseen circumstances may arise, and we will make every effort to communicate any changes in a timely manner. We appreciate your understanding and flexibility in accommodating any adjustments that may be required to ensure the smooth operation of our donation redistribution process

5. Safety and Warehouse Etiquette:

   - Children are not allowed at the warehouse due to safety concerns, as the volunteers work quickly and there are potential hazards.

   - Organizations are expected to come prepared to assist in loading their vehicles.

   - Role Models of America (RMA) upholds a stringent Non-Violence Policy, which will be consistently enforced to maintain a safe and respectful environment for all involved. We kindly request that you demonstrate kindness and respect towards our dedicated volunteers and staff who are assisting you. Your cooperation in adhering to this policy is greatly appreciated as we strive to foster a positive and inclusive atmosphere within our organization.

6. Ordering and Deadlines:

   - Orders for pickup need to be placed on the organization's website by Tuesday afternoon for Thursday and Saturday pickups.

7. Purpose and Restrictions:

   - Organizations are not allowed to "shop" for personal use or discuss personal usage of the donated items.

   - The items are intended for the organization's community and should be used accordingly.

8. Missed Pickup and Cancellations:

   - If an organization misses their scheduled pickup, Role Models of America cannot hold the items.

   - In the event of a cancellation on the day of the pickup, organizations are requested to inform Judy to allow Pastor Sean to adjust his schedule accordingly.

9. Warehouse Address and Communication:

   - The warehouse address is 18714 Turnip Spring, TX 77379.

   - Judy will send a text reminder on Monday of the scheduled week and organizations are required to respond, as Pastor Sean relies on the updates to pull the necessary pallets.

These procedures provide a detailed guideline for organizations participating in Role Models of America, ensuring smooth and efficient pickups while emphasizing safety, accountability, and proper use of the donated items.

 
Proper Use of Donated Product
•Your organization may use donated goods only as direct charitable donations to people in need.

• Your organization must not sell, trade, barter, or otherwise transfer any donated goods in exchange for money, property, or services. Prohibited transfers include listing the donated goods for sale or trade on websites, in stores, at flea markets, or in any similar manner.

• Your organization must not use donated goods for raffles, auctions, or any fundraising activity.

• Your organization must not accept anything of value (including voluntary donations) in exchange for the donated goods.

• Your organization must not give any donated goods to its volunteers, officers, directors, employees, or contractors for personal use.

• Your organization must not return any donated goods to the manufacturer or to any retail store.

• Your organization must not give donations to another nonprofit organization or other entity.

• Your organization must not redistribute any donated goods to any location outside of the United States (unless Good360 has given written permission in advance).

Corporate donors rely on Good360 and their nonprofit partners to uphold a commitment to high ethical and business standards. These standards ensure that all donations are used as intended to

help those in need and that donors’ specific requirements for distribution of goods are met. The illicit sale of donated goods is a violation of your contract with Role Models of America and Good360 and

has the potential to cause irreparable harm to the donor’s reputation, business relationships, and donative intent. Any such breach of trust, therefore, jeopardizes the ability of the entire Good360 network to receive quality, needed goods.

To protect both Good360 and our corporate donors, the Good360 Security and Compliance Team reviews all allegations of product misuse including, but not limited to, the reselling of donated goods.

If allegations are found to be valid, legal actions will be pursued. If your organization has breached its contract, you may be terminated from Role Models of America, the Good360 network and its participating programs and required to turn any profits over to Good360, to reimburse Good360 for any expenses incurred in replacing the donated goods, and to compensate Good360 for lost relationships with corporate donors caused by your breach.
